I personally would back up all your data files and just do a new install...
Ubuntu recommends only upgrading from one version to the next... not sure how many are in between 12.1 to 14.1 but this could be a lot of work...
To upgrade on a desktop system:
Press Alt+F2 and type in "update-manager" (without the quotes) into the command box.
Update Manager should open up and tell you: New distribution release '14.04 LTS' is available.
Click Upgrade and follow the on-screen instructions.
To upgrade on a server system:
Install the update-manager-core package if it is not already installed.
Launch the upgrade tool with the command sudo do-release-upgrade.
Follow the on-screen instructions.
Probably the easiest would be to back up all data and then install openSUSE 13.2... I'm just say'en... lol

Yeah I got that part but the problem I'm having is there's no 13 to download anymore to get to 14 ....and it won't allow a fresh install of 14 for some reason. ...every web I searched says that but it won't do it ...is it because I'm being cheap and did not donate so I keep getting bum downloads?

hmmmm... bum downloads?
That's got to be what it is I would think???
Below is a link for "Ubuntu GNOME 13.10 (Saucy Salamander)"... I have no idea of there credibility but they do offer 13.10 for download... so maybe this will work for ya???

I'd go with a new install of LTS, the latest is 14.04.
